General Terms and Conditions of Flowzy FZC (Flowzy or flowzy.ai)

These General Terms and Conditions apply to all quotations, agreements, services and invoices of Flowzy FZC, trading under the name flowzy.ai, an AI automation agency located at Building C1, Ajman Free Zone, Ajman, United Arab Emirates. Company Registration Number: 33851. UAE TRN: 105181836500003.

These Terms of Service (the “Agreement”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Flowzy FZC (“Flowzy”, “Company”, “we”, “us” or “our”), concerning your access to and use of the https://flowzy.ai website, as well as any other media form, media channel, mobile website or mobile application related, linked or otherwise connected to it (collectively, the “Site”) and the Flowzy web-based, application and automation services accessed through the Site (the “Service”). We are registered in Ajman Free Zone, United Arab Emirates, and have our office at Building C1, Ajman Free Zone, Ajman, United Arab Emirates. You agree that by accessing the Site or the Service, you have read, understood and agree to be bound by all of these Terms of Service. If you do not agree with all of these Terms of Service, you are expressly prohibited from using the Site and the Service and must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. We will alert you about any changes by updating the version date of these Terms of Service, and you waive any right to receive specific notice of each such change. Please check the applicable Terms every time you use our Site or Service so that you understand which Terms apply. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Service by your continued use of the Site after the date such revised Terms of Service are posted.

Article 1: Applicability

  1. These General Terms and Conditions apply to all quotations, agreements, services and invoices of Flowzy FZC (hereinafter: “Flowzy”, “flowzy.ai” or “we/our”) relating to, but not limited to, AI automation services, consulting, software development, website development, search optimisation, lead generation, implementation of AI solutions and related services (hereinafter: “Services”).
  2. Deviations from these General Terms and Conditions are only valid if expressly accepted in writing by Flowzy.
  3. The applicability of any general terms and conditions of the client or customer (hereinafter: “Customer”) is expressly excluded.
  4. These General Terms and Conditions also apply to supplementary or amended agreements.

Article 2: Quotations and Agreements

  1. All quotations and price indications from Flowzy are non-binding and valid for a period of 30 days, unless otherwise stated.
  2. An agreement is formed as soon as the Customer accepts the quotation in writing (by email or signed) or as soon as Flowzy sends an order confirmation.
  3. Flowzy reserves the right to refuse assignments without giving reasons.

Article 3: Performance of the Services

  1. Flowzy will perform the Services to the best of its ability and with professional care, in accordance with the agreed specifications.
  2. Delivery deadlines are indicative and non-binding, unless expressly agreed otherwise. Exceeding deadlines does not entitle the Customer to compensation or dissolution.
  3. The Customer is obliged to provide all necessary information, access and cooperation in a timely manner. Delays caused by the Customer are at the Customer’s expense.
  4. Flowzy uses third parties (such as third-party AI models and cloud providers) for the performance of the Services. Flowzy is not liable for errors or outages of these third parties.

Article 4: Prices and Payment

  1. Prices are exclusive of VAT (if applicable) and other levies, unless otherwise stated.
  2. Invoices must be paid within 14 days of the invoice date, unless otherwise agreed.
  3. In the event of late payment, the Customer is in default by operation of law and owes late payment interest of 1.5% per month, as well as all collection costs (minimum 15% of the outstanding amount with a minimum of EUR 250).
  4. Flowzy reserves the right to suspend the Services in the event of non-payment.

Article 5: Intellectual Property

  1. All intellectual property rights to materials, software, AI models, scripts and documentation developed by Flowzy remain with Flowzy, unless expressly agreed otherwise (for example via a buy-out or a hand-over clause in the proposal).
  2. The Customer obtains a non-exclusive, non-transferable licence to use the delivered Services solely for internal use.
  3. The Customer indemnifies Flowzy against claims from third parties for infringement of intellectual property rights caused by materials provided by the Customer.

Article 6: Liability

  1. Flowzy is only liable for direct damage caused by intent or gross negligence.
  2. Flowzy’s liability is limited to the invoice amount of the relevant assignment (excluding VAT), with a maximum of EUR 10,000.
  3. Flowzy is never liable for indirect damage, including consequential damage, lost profits, lost savings or damage due to business interruption.
  4. AI output is generated based on models and data; Flowzy does not guarantee its accuracy, completeness or suitability. The Customer is responsible for verifying and using AI output.

Article 7: Use at Own Risk

  1. The Customer uses the Services, including all delivered AI tools, automations, scripts, software and generated output, entirely at their own risk.
  2. Flowzy is not liable for any misuse, improper use, incorrect use or illegal use of the Services by the Customer or third parties.
  3. This includes, but is not limited to, damage arising from incorrect application of AI output, violation of laws and regulations, infringement of third-party rights or any other consequences of using the Services.
  4. The Customer is solely responsible for compliance with all applicable laws and regulations when using the Services and fully indemnifies Flowzy against all related claims.

Article 8: No Refunds

  1. All payments to Flowzy are final and non-refundable.
  2. No refund will be provided in the event of reduced or modified service delivery, including but not limited to the temporary or permanent removal of certain functionalities, integrations, applications, AI models or software components in the Services.
  3. This also applies if changes result from actions by third parties (for example API changes, provider restrictions or discontinuation of external tools).
  4. Flowzy reserves the right at all times to modify, expand or restrict the Services without this giving rise to a right to refund or compensation.

Article 9: Confidentiality

  1. The parties undertake to maintain confidentiality regarding all confidential information exchanged in the context of the agreement.
  2. This obligation continues after termination of the agreement.

Article 10: Force Majeure

  1. Flowzy is not obliged to perform if this is impossible due to force majeure (such as disruptions at third parties, internet outages, pandemics or government measures).
  2. In the event of force majeure, Flowzy has the right to terminate the agreement without being liable for damages.

Article 11: Termination

  1. The parties may terminate the agreement in writing with 30 days’ notice, unless otherwise agreed.
  2. Flowzy may terminate the agreement immediately in the event of non-payment, bankruptcy or suspension of payments by the Customer.
  3. Upon termination, the Customer remains obliged to pay for Services already performed.

Article 12: Disputes and Applicable Law

  1. These General Terms and Conditions and all agreements are governed by the law of the United Arab Emirates.
  2. Disputes will preferably be resolved amicably. In the absence thereof, the competent courts in Ajman (UAE) have exclusive jurisdiction.

These General Terms and Conditions are filed and available upon request.

Article 13: Use of the flowzy.ai Website and Services

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable. The Site is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Site.

Intellectual Property Rights

(a) All the information and materials (including, without limitation, the source code, databases, functionality, software, website designs, audio, video, text, photographs and graphics) on the Site and/or the Service, excluding Third-Party Content (collectively, the “Content”), are owned or controlled by us or licensed to us and are protected by the copyright laws and other intellectual property laws of the United Arab Emirates, the European Union, international copyright laws and international conventions. The Content is provided on the Site “as is” for your information and personal use only. Except as expressly provided in these Terms of Service, no part of the Site and/or the Service and no Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed or otherwise exploited for any commercial purpose whatsoever without our express prior written permission.

Provided that you are eligible to use the Site and the Service, you are granted a limited licence to access and use the Site and the Service and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Site, the Service and the Content.

(b) Third-Party Content: In addition to Flowzy Content, the Site and/or the Service may contain information and materials provided to Flowzy by third parties (collectively, “Third-Party Content”). Third-Party Content is the copyrighted work of its owner, who expressly retains all right, title and interest in and to the Third-Party Content, including, without limitation, all intellectual property rights therein. In addition to being subject to these Terms of Service, Third-Party Content may also be subject to different and/or additional terms of use and/or privacy policies of such third parties. Please contact the appropriate third party for further information regarding any such different and/or additional terms of use applicable to Third-Party Content.

(c) All trademarks, service marks and logos included on the Site and/or the Service (“Marks”) are the property of Flowzy or third parties, and you may not use such Marks without the express, prior written consent of Flowzy or the applicable third party.

AI assistant on the Site

The Site offers an AI assistant for general information about our Services. Its answers are generated automatically, may contain errors and do not constitute an offer, advice or a binding commitment by Flowzy. Only written quotations and agreements as described in Article 2 are binding.
